The Board of Directors of Fiera Milano spa, chaired by Michele Perini, has approved the merger plan to incorporate into the parent company Fiera Milano SpA the 100% subsidiary company TL.TI Expo Spa, which is responsible for  the International Forum of Logistics and Transport and for the event Transpotec & Logitec.

This action follows the acquisition  of the minority shares of TL.TI Expo by the Leader Company, equal to 11,69% of the capital (total disbursement 280 thousand Euros) and is part of the process of corporate reorganization and business of the Group, with the purpose to achieve further business development, as well as greater efficiency of operational processes. The merger will allow concentrating in a single entity the business of organizing events, gaining advantages in terms of productivity increase and cost savings. The merger will be realized by applying the simple rules pursuant to Article 2505 of the Civil Code; in particular, the decision to merge will be taken by the Board of Directors.

The documentation concerning the merger, according to the provisions of law - merger and balance sheets at September 30th 2011 of the companies involved in the action - is available to the public at the Company's administrative headquarters, at the market management company Borsa Italiana SpA and can be consulted on www.fieramilano.it section Investor Relations / Corporate Governance. The same will also be filed for registration at the Registry of Companies of Milan.
